TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of Orchid, a product operated by Deckata, Inc. (“Company,” “we,” “us,” or “our”).
By accessing or using Orchid (the “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Description of Services
Orchid is a software-as-a-service (SaaS) platform that provides CRM functionality for talent agencies, including optional integrations with Google services and AI-powered features.
We may modify, improve, or discontinue features at any time.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
3. Account Registration and Security
You must create an account to use certain features.
You agree to:
- Provide accurate and complete information
- Maintain the security of your login credentials
- Promptly notify us of unauthorized access
You are responsible for all activity under your account.
4. Google OAuth and Gmail Integration
Note: Google Sign-In (OpenID Connect) is separate from the optional Gmail inbox connection.
Google Sign-In. If you choose to authenticate using Google, we use Google OpenID Connect solely for identity verification. We do not access your Gmail inbox through Google Sign-In.
Gmail API Access. If you choose to connect your Gmail account:
- You authorize us to access your Gmail data using the
gmail.readonlyscope. - We may access email message content and metadata solely to provide Services features.
- We do not send, modify, or delete emails.
- You may revoke access at any time via your Google account settings or within the Services.
Your use of Google integrations is also subject to Google’s applicable terms and policies.
We reserve the right to suspend or disable Google integrations if required to comply with Google policies or applicable law.
5. AI-Powered Features
Certain features use artificial intelligence provided by third-party providers (including OpenAI).
By using AI-powered features:
- You authorize us to transmit relevant data (such as email content and metadata) to the AI provider solely to generate structured outputs.
- You acknowledge that AI-generated outputs may be inaccurate, incomplete, or incorrect.
- You are responsible for reviewing and verifying any AI-generated content before relying on it.
AI outputs are provided “as is” without warranties of any kind.
We are not responsible for decisions made based on AI-generated results.
6. Subscription, Billing, and Payments
Paid features of the Services require a subscription.
Billing.
- Payments are processed by Stripe.
- You agree to provide current, complete, and accurate billing information.
- You authorize Stripe to charge your selected payment method on a recurring basis if applicable.
Renewals. Subscriptions automatically renew unless canceled prior to the renewal date.
Cancellations. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period unless otherwise stated.
Refunds. Fees are non-refundable except where required by law.
We may suspend or terminate access for failure to pay.
7. Acceptable Use
You agree not to:
- Use the Services for unlawful purposes
- Violate Google’s API policies
- Attempt to reverse engineer or copy the Services
- Interfere with the operation or security of the Services
- Use the Services to transmit malicious code
- Misuse AI features to generate unlawful or harmful content
We may suspend or terminate accounts that violate these Terms.
8. Intellectual Property
The Services, including all software, content, trademarks, and branding, are owned by Deckata, Inc. and protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.
You retain ownership of the content you submit to the Services.
9. Confidentiality
You agree not to disclose non-public information about the Services or our business that you gain access to through use of the Services.
10. Termination
We may suspend or terminate your access to the Services at any time if:
- You violate these Terms
- Required by law
- Required to maintain compliance with third-party providers (including Google)
You may terminate your account at any time.
Upon termination, your right to access the Services will cease.
11. Disclaimers
The Services are provided “as is” and “as available.”
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy or reliability of AI-generated outputs.
We do not guarantee uninterrupted or error-free operation.
12. Limitation of Liability
To the maximum extent permitted by law:
- We will not be liable for indirect, incidental, consequential, special, or punitive damages.
- Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid us in the twelve (12) months preceding the claim.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Deckata, Inc. and its officers, directors, and employees from any claims, damages, or expenses arising out of:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
14. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.
Any disputes shall be resolved in the state or federal courts located in Arizona.
15. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will provide notice through the Services or by other reasonable means. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
